1. General Provisions

These Terms of Service ("Terms") govern the use of services provided by ONYX Systems LLC ("Company", "we", "our"). By using our services, you accept these terms.

2. Our Services

ONYX Systems provides the following IT services:

  • DevOps and CI/CD solutions
  • Cloud services and infrastructure management
  • IT Help Desk and technical support
  • IT support and systems management
  • Software development
  • Network and infrastructure solutions
  • IT equipment and licensing sales

3. User Obligations

As a customer, you undertake to:

  • Provide accurate and precise information
  • Comply with service terms and legal requirements
  • Responsibly approach system security
  • Adhere to specified payment terms
  • Protect confidential information

4. SLA and Service Quality

We provide the following SLA (Service Level Agreement) standards:

  • System Availability: 99.9% uptime guarantee
  • Support Response Time: 15 minutes for critical issues
  • Problem Resolution: 95% first-call resolution
  • Monitoring: 24/7 proactive system monitoring

5. Payment Terms

Payment terms are defined as follows:

  • All prices are shown in AZN and include VAT
  • Payment period is 14 days from invoice date
  • Monthly 1% late fee for overdue payments
  • Subscription services are prepaid
  • Service cancellation notice must be given 30 days in advance

6. Liability Limitations

Our company's liability is limited as follows:

  • Direct damages are limited to contract value
  • We are not liable for indirect and consequential damages
  • No liability for force majeure events
  • Limited liability for problems arising from third-party services

7. Confidentiality

Both parties undertake to protect each other's confidential information. Confidential information includes:

  • Technical documentation and system configuration
  • Business strategy and financial information
  • Customer data and personal data
  • Program codes and technical solutions

8. Intellectual Property

Intellectual property rights for products and solutions created by the company belong to the company. The customer obtains usage rights within standard licensing terms.

9. Service Termination

Service may be terminated in the following cases:

  • Gross violation of contract terms
  • Failure to fulfill payment obligations
  • Violation of legal requirements
  • By mutual agreement

10. Data Recovery and Backup

Within managed services, data backups are created regularly. Data recovery service is provided within SLA. The customer is also responsible for maintaining backups of their data.

11. Entry into Force and Changes

These terms enter into force from the date of contract signing. Changes to the terms can be made in writing and with the consent of both parties. Minor changes will be notified 30 days in advance.

12. Dispute Resolution

Disputes are first attempted to be resolved through negotiations. If no agreement can be reached, the dispute is resolved in the court system of the Republic of Azerbaijan, in Baku City Court.

13. Applicable Law

These terms are regulated and applied based on the legislation of the Republic of Azerbaijan. Additional terms may be defined for international customers.
